Welcome to Bear Shift Logistics LLC. These Terms & Conditions (also referred to as our “Terms of Service”) govern your use of our website, freight brokerage services, quote-request forms, communications, and other services provided by Bear Shift Logistics LLC. These Terms also govern participation in Bear Shift Logistics LLC’s SMS messaging program. Additional SMS-specific terms are provided in the “SMS Messaging Terms & Conditions” section below.

By using our website, requesting a freight quote, communicating with our team, or using our services, you agree to these Terms & Conditions.

1. About Bear Shift Logistics LLC

Bear Shift Logistics LLC is a licensed property freight broker (MC 77849774, USDOT 4509218) that provides freight brokerage and logistics coordination services to businesses and customers requiring transportation of freight. We help connect customers requiring freight transportation with qualified third-party motor carriers and transportation providers.

Bear Shift Logistics LLC acts solely as a licensed freight broker and logistics coordinator. It does not operate as a motor carrier or as a warehouse, and it does not take possession, custody or control of any freight. Transportation is performed by independent, FMCSA-authorized motor carriers and storage by independent warehouse operators, each responsible for the freight while in its care.

2. Freight quotes

Quotes provided by Bear Shift Logistics LLC are based on information supplied by the customer, including but not limited to:

• Pickup and delivery locations
• Freight dimensions and weight
• Commodity type
• Equipment requirements
• Pickup and delivery dates
• Special handling requirements
• Accessorial services
• Current carrier availability and market conditions

Initial quotes may be subject to change if shipment information changes or if additional services, delays, accessorial charges, or other circumstances arise. Customers are responsible for providing accurate and complete shipment information.

3. Carrier & storage coordination

Bear Shift Logistics LLC arranges transportation services exclusively through independent third-party motor carriers. The carrier performing the transportation remains responsible for the physical transportation and handling of the shipment in accordance with applicable agreements, laws, regulations, and carrier requirements.

Carrier availability is not guaranteed until transportation arrangements have been confirmed.

3.1 Storage coordination

When requested, we coordinate storage with independent warehouse operators. You (or your designee) remain the owner and depositor of the goods; the warehouse is the bailee and issues its receipts to you. If we pay the warehouse’s charges for your goods, we do so only as your disclosed agent, on your behalf and at cost, itemized on your invoice separately from our coordination fee. We remit those charges to the warehouse only after we receive your payment for them, and we never advance our own funds for your storage. We never lease warehouse space or hold goods in our own name.

4. Customer responsibilities

Customers agree to provide accurate information relating to their shipment and to promptly notify Bear Shift Logistics LLC of any changes.

Customers are responsible for ensuring that freight is appropriately:

• Packaged
• Labeled
• Classified
• Described
• Prepared for transportation

unless otherwise agreed in writing.

Customers must also disclose any special transportation requirements, including hazardous materials, temperature control, oversized freight, unusual loading conditions, or restricted commodities.

5. Pickup and delivery times

Pickup and delivery dates or times may be estimated unless expressly guaranteed in writing. Transportation may be affected by circumstances outside the reasonable control of Bear Shift Logistics LLC, including:

• Weather
• Traffic
• Road closures
• Mechanical problems
• Carrier delays
• Loading or unloading delays
• Facility closures
• Government restrictions
• Emergencies
• Other transportation-related disruptions

Bear Shift Logistics LLC will make reasonable efforts to communicate significant shipment updates when information is available.

6. Website and quote requests

Submitting a quote request through the Bear Shift Logistics LLC website does not create a guaranteed transportation agreement or guarantee carrier availability.

A shipment is not considered confirmed solely because a customer submits an online inquiry or receives an automated acknowledgment. Additional confirmation may be required from Bear Shift Logistics LLC before transportation is arranged.

7. Communications

By contacting Bear Shift Logistics LLC, you agree that we may communicate with you regarding your inquiry, freight quote, shipment, account, requested services, or customer-support needs through appropriate communication channels.

Depending on the contact information and consent you provide, communications may include telephone calls, email, or SMS messages. Marketing or promotional SMS communications will only be sent where appropriate consent has been obtained.

8. SMS Messaging Terms & Conditions

SMS program

By providing your mobile phone number and explicitly opting in to receive SMS messages from Bear Shift Logistics LLC, you consent to receive text communications relating to your interactions with us. Messages may include:

• Freight quote follow-ups
• Shipment status updates
• Pickup and delivery confirmations
• Appointment or scheduling updates
• Tracking information
• Requests for shipment-related information or documents
• Invoice and document reminders
• One-time verification codes
• Customer service and support communications

SMS messages are sent only to recipients who have provided appropriate consent.

Optional offers

Separately, and only if you tick a second, optional box when you opt in, we may also text you about available loads and freight opportunities (carriers) or about available capacity, rates and service offers (customers). This consent is separate from the one above, is never pre-checked, and is not a condition of doing business with us. Replying STOP ends these messages too.

Message frequency

Message frequency varies depending on your freight activity, shipment status, requests, and interactions with Bear Shift Logistics LLC.

Message and data rates

Message and data rates may apply depending on your wireless carrier and mobile service plan.

Consent is not a condition of purchase

Consent to receive SMS messages from Bear Shift Logistics LLC is not a condition of purchasing or using our freight brokerage or logistics services.

How to opt out

You may unsubscribe from SMS messages at any time by replying STOP to a text message from Bear Shift Logistics LLC. You may also reply CANCEL, END, QUIT, UNSUBSCRIBE, REVOKE, STOPALL or OPTOUT.

After opting out, you may receive a confirmation message. You will no longer receive messages from the applicable SMS program unless you opt in again, for example by replying START.

Carrier disclaimer

Wireless carriers are not liable for delayed or undelivered messages. SMS delivery depends on mobile networks and service providers that are outside the direct control of Bear Shift Logistics LLC.

9. Intellectual property

Unless otherwise stated, the content appearing on the Bear Shift Logistics LLC website, including text, graphics, branding, logos, design elements, and other original materials, is owned by or licensed to Bear Shift Logistics LLC.

Website content may not be copied, reproduced, distributed, or commercially exploited without permission, except as permitted by applicable law.

10. Acceptable use

You agree not to use our website or services:

• For unlawful or fraudulent purposes
• To provide deliberately false shipment information
• To interfere with the website or its systems
• To attempt unauthorized access to accounts or systems

11. Third-party services

Bear Shift Logistics LLC may use third-party service providers in connection with freight transportation, communications, payments, website infrastructure, analytics, customer support, and other business operations.

Third-party services may be governed by their own terms and privacy policies. Bear Shift Logistics LLC is not responsible for third-party websites or services that are outside our control.

12. Disclaimer

Bear Shift Logistics LLC makes reasonable efforts to provide accurate and reliable information. However, website content, shipment estimates, availability information, and other information may change and are not guaranteed to be error-free or continuously available.

Nothing on the website should be interpreted as a guarantee of carrier availability, transit time, delivery time, or a particular transportation outcome unless expressly agreed in writing.

13. Limitation of liability

To the fullest extent permitted by applicable law, Bear Shift Logistics LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the website or services.

Liability for loss of, damage to, or delay of freight rests with the motor carrier that performs the transportation (49 U.S.C. 14706) or with the warehouse while the goods are in its custody. Bear Shift Logistics LLC does not assume the liability of a carrier or a warehouse; it will help you file and pursue a claim against the responsible party.

Nothing in these Terms excludes liability that cannot legally be excluded.

14. Signed agreements take precedence

If you have signed a separate written agreement with Bear Shift Logistics LLC — for example a Broker-Carrier Agreement, a Master Services Agreement, or a rate confirmation for a specific load — that agreement governs the services it covers. If it conflicts with these Terms, the signed agreement prevails.

15. Governing law

These Terms are governed by the laws of the State of Wyoming, USA, and by applicable federal transportation laws and regulations. Any legal action relating to these Terms shall be brought exclusively in the state or federal courts located in Wyoming, unless a signed agreement between you and Bear Shift Logistics LLC provides otherwise.

16. Privacy

Your use of Bear Shift Logistics LLC’s website and services is also subject to our Privacy Policy. Please review the Privacy Policy to understand how information is collected, used, disclosed, and protected.

17. Changes to these Terms

Bear Shift Logistics LLC may update these Terms & Conditions periodically to reflect changes in our services, legal requirements, communications practices, or business operations.

The updated version will be posted on this page with a revised “Last updated” date. Continued use of the website or services after updated Terms are posted constitutes acceptance of the revised Terms to the extent permitted by applicable law.
